BASIC PURPOSE OF THE ROLE

•            Manages and provides leadership and direction to TAQA Atrush’s Legal Department and ensures the provision of highly professional and business-focused legal services.
•            Primary advisor to TAQA Atrush on legal and commercial issues concerning the company’s business  including, but not limited to, procurement and supply chain contracting, oil sales, financing, joint venture compliance and advice, government and regulatory compliance, risk mitigation and strategy, insurance, employment and human resources issues, intellectual property, litigation and disputes, mergers, acquisitions and divestments.
•            Act as legal and commercial representative to the Atrush operating committee and management committee.
•            Hold the position of Company Secretary for TAQA Atrush with responsibility for ensuring compliance with legal requirements and practices including the maintenance of high standards of corporate governance. 
•            As a member of the Atrush Leadership Team and Senior Leadership Team, be responsible for contributing to the development of TAQA Atrush’s overall company strategy and operational plans.
•            Instil, encourage, and develop TAQA values and the “TAQA Way” throughout TAQA Atrush and in all aspects of business activity.

Generic Accountabilities

 

Responsible for the overall legal function, all legal matters concerning TAQA Atrush.
Work closely with Atrush Leadership Team members to plan, develop and implement TAQA Atrush’s strategy and business plans. 
Provide sound legal advice and recommendations to assist the Senior Management on important legal matters to safeguard and protect the legal interests of TAQA Atrush.
Contribute to the long-term growth and development of TAQA Atrush by participating in A&D activities (including third party business opportunities), new development projects, etc. In that regard, takes a lead role in negotiating and drafting of relevant transaction documents.
Participate in developing best practices and processes for use within the Kurdistan region (and assist with the development of such practices in other businesses of the group, where appropriate).
Ensure adherence to ethical principles, company values, code of conduct and policies.
Identify potential legal issues associated with the TAQA Atrush’s corporate strategy and operations; assesses the impact of potential risks and provides mitigation actions where necessary
Assign and ensure effective interfaces are in place between the Legal Department and other functions and departments of TAQA Atrush as well as with external legal advisors/specialists and that the provision of external legal services is managed and delivered professionally and effectively.
Maintain a high level of professional awareness of legal and fiscal developments affecting the industry, future trends within the industry, etc. and ensures that the TAQA Atrush and Global management are properly briefed on all developments. 
Works closely with General Counsel, Oil and Gas and other Legal Heads to develop a high level of expertise and effective knowledge-sharing across the global Legal function e.g. high-level trouble-shooting, lessons learned/shared, development of Global strategies/policies, functional career development.
Regularly provide updates on legal matters concerning TAQA Atrush to the General Counsel, Oil and Gas.
Represents TAQA Atrush externally through e.g. membership of industry forums, attending conferences/seminars, participation in industry initiatives and ensures TAQA Atrush is well positioned externally to influence long-term industry strategy, regulatory developments, etc. (subject to obtaining necessary approvals).
Advises on staff grievances and disciplinary actions and review any investigation’s report as a member of the Internal Investigation Committee.
Demonstrable mentoring and development of national staff.

Job Specific Accountabilities

 

Strategy Development and Implementation

Develop and direct the implementation of the functional strategy ensuring alignment to group strategy, TAQA’s vision, mission, and corporate objectives.
Ensure that functional strategy and related strategic plans are developed and implemented, which are aligned with the vision and mission of the organization.
Ensure the provision of subject matter expertise for the assigned domain and provide counsel to TAQA’s leadership on all related areas to facilitate the achievement of TAQA’s strategy and functional strategies.

Legal Department Responsibilities

Provide leadership and direction to the TAQA Atrush Legal Department, ensure the department is appropriately resourced and that the skills and expertise of the department are developed to support the delivery of business objectives and local legislation. Promote continuous improvement in the development of professional/technical expertise, commercial astuteness and innovative thinking within the Legal Department. 
Ensure that the legal team maintains an up to date understanding of the short, medium and long term strategic and operational requirements of the business and align services with business objectives and in accordance with corporate policies and regulatory standards/requirements.   
Encourage a high level of responsibility and ownership within the Legal Department and ensures effective interfaces are developed and maintained with relevant parties, both internally and externally.
Conduct trainings to build awareness on legal issues and monitor adherence to legal policies and frameworks, providing guidance on correctional interventions, as necessary.
Budgeting - define and monitor the legal budget and address major variances between actual expenditure and budget; collaborate with Finance Department on budget related issues

JV matters

Participate in committees established to carry out TAQA Atrush’s role as operator of the Atrush Block (including as an integral member of the contracts Bid Committee) and assist with the affairs of, and participate in meetings of, the Operations Committee and Management Committee.
Assist in dealing with contractual and commercial matters with TAQA’s JV partner, and the Government of the Kurdistan Region of Iraq.
Liaising with the Government of Kurdistan Region of Iraq in its capacity as a counterparty to the PSC and regulatory of oil and gas affairs in the region

Governance

Develop and maintain governance enablers and corporate governance framework to clarify accountabilities, roles, and responsibilities across the organization.
Execute internal governance policies and legal risk and compliance management frameworks for TAQA Atrush to ensure compliance with government regulations.
Provides company secretarial services to TAQA Atrush

Transaction Support

Provide legal support to operations and transactions, ensuring provision of expertise and relevant documentation.
Partner with the deal teams and sectors to manage all legal aspects from pre-contract risk assessment to deal structuring and execution to ensure legal implications are assessed, managed and risks are mitigated.
Provide advice to on legal implications of new and critical projects as well as deals and investments to protect the organization’s interests.
Work closely with the asset team and remain aware of all activities within assets to proactively manage risks and provide legal services as needed.
Act as a managing counsel on projects to ensure the resolution of issues and delivery of services in a timely and efficient manner.

Contracts & Documentation

Lead/draft, review, negotiate, and execute commercial agreements and documentation, including procurement agreements, Requests for Proposals (RFP), lending and financing agreements, partnership agreements and purchase agreements to prevent legal liabilities while ensuring compliance with all relevant laws and regulations.
Periodically update and/or develop standard form documents to keep in line with legal developments and practices in the industry and the region
Lead the provision of legal support on Requests for Proposals (RFP), including the full support of contract documentation and evaluating and defending proposals to ensure the correct service or product is obtained by TAQA.
Support the business line functional heads during business transactions by ensuring that the relevant contract clauses comply with corporate laws, local and international standards.
Monitor the completeness and correctness of all contractual work, documents, and agreements to ensure they are prepared in line with regulations and legal requirements of TAQA.
Review and provide legal advice on the development of documents and support Oil & Gas managers in the resolution of all issues/disputes/risks to secure TAQA’s best interests.

Litigations

Protect and promote the functions’ legal interests, whether by mediation, arbitration, or action in the courts, with varying degrees of guidance depending on complexity and importance.
Provide legal counsel to resolve various litigation and dispute settlement activities, to protect the corporate interests of Oil & Gas function.
Proactively manage any disputes and litigation with the assistance of appropriate external counsel, where necessary.

Represent the function’s management in judicial administration and governmental authorities in disputes, litigation matters and permits in compliance with government requirements

 

QUALIFICATIONS

ESSENTIAL

Qualification from an accredited law school and be licensed to practice law in a commonwealth jurisdiction or the US.

Demonstrated experience in working in a culturally diverse organization

PREFERRED

Engineering or a business/commerce or finance diploma

KNOWLEDGE

ESSENTIAL

At Least 10 years PQE with at least major part of the time spent in an international law firm
Significant experience of negotiating and drafting oil and gas industry contracts and agreements, including granting instruments, JOA, sales agreements, and procurement and supply chain contracts
Excellent knowledge of the legal and fiscal regime relating to oil and gas operations in the Kurdistan Region of Iraq
Experience in corporate and company secretarial matters
Possess an excellent understanding of the technical and commercial drivers of an oil and gas operator.

PREFERRED

5+ Years energy industry experience, preferably oil and gas exploration and production and infrastructure development and financing generally

Proven track record of demonstrating sound business and legal judgment
